Regulatory Status Disclosure

1. We are a software vendor

Seraphim Quant LLC is a software and technology provider. We design and license trading software — specifically the S-23 strategy for the NinjaTrader 8 platform. We sell a software tool. We do not sell, and do not provide, financial services.

2. What we are NOT

Seraphim Quant LLC is not, and does not hold itself out as, any of the following:

A registered Commodity Trading Advisor (CTA);
A registered investment adviser;
A broker-dealer, futures commission merchant, or introducing broker;
A commodity pool operator;
A financial institution, fiduciary, or money manager of any kind.

We are not registered with the U.S. Commodity Futures Trading Commission (CFTC), the National Futures Association (NFA), the U.S. Securities and Exchange Commission (SEC), or any equivalent regulator, and our products do not require you to engage any such registered person through us.

3. We do not provide advice or manage accounts

Seraphim Quant LLC does not:

Provide commodity trading advice, securities advice, or any personalized investment recommendation;
Tell any user what, when, whether, or how much to trade;
Manage, access, or place orders in any user's trading or brokerage account;
Hold, custody, or control any user's funds;
Tailor the software, its parameters, or its configuration to any individual user's circumstances, account size, or risk tolerance.

4. You are in control

The user retains full and sole control over the software's parameters, configuration, activation, and execution. You decide whether to run the software, how to configure it, on which instrument and account, and with what risk settings. The software executes the rules you configure; any orders it generates are the result of your own configuration and your decision to run it.

5. Support is technical, not advisory

Any support we provide is technical only — for example, installation, license activation, platform connectivity, and resolving software errors. We do not provide strategic or advisory support. We will not recommend parameter values, position sizes, instruments, or settings for your specific account or circumstances.

6. Educational and informational purpose

All content we publish — including documentation, statistics, and any media — is provided for general educational and informational purposes only and is not a solicitation, recommendation, or offer to buy or sell any futures contract or other instrument.

7. Your responsibility

You are solely responsible for your own trading decisions and outcomes, for complying with all laws and with the rules of any broker or proprietary trading firm you use, and for determining whether trading futures is appropriate for you.
